1. Who we are
Element Decor designs, fabricates and installs custom wood wall panels, slat walls and ceilings, and freestanding partitions. We manufacture in our own shop in Los Angeles. We install throughout Southern California and ship finished work to the rest of the United States.
Element Decor is licensed and insured in California. Our contractor license number appears on every written contract we issue.
In these Terms, "we", "us" and "Element Decor" mean Element Decor. "You" means the person or company using this website or ordering from us.
2. What these Terms cover
These Terms govern your use of element-decor.com and any order you place through the site.
Custom work is governed by a separate written contract. Where our written contract and these Terms disagree, the written contract controls for that project. Our Custom Order Terms, Shipping and Returns policy, Warranty and Privacy Policy are part of these Terms.
By using this site or placing an order, you accept these Terms. If you do not accept them, do not use the site.
3. Quotes, pricing and estimates
Prices and figures shown on the site are indicative, not offers. Panel pricing is quoted per project, because species, finish, panel size, quantity and site conditions all affect the number. Installation, delivery, templating, custom finishes, integrated lighting and acoustic cores are quoted separately.
A written quote is valid for 30 days from the date we issue it unless it says otherwise. After 30 days we may re-quote to reflect current material and labor costs.
A quote becomes a contract only when you sign it and we receive the first payment.
Site conditions change what a project costs. If we find conditions during templating or installation that a reasonable inspection could not have revealed, we will tell you in writing before doing the work and issue a change order.
4. Design and visualization
We offer a paid 3D visualization so you can see the work in your own room before committing. The fee is credited toward your project if you proceed. It is not refundable if you do not.
Drawings, renderings, shop drawings, panel layouts and CNC files that we produce remain our property until your project is paid in full. You may not send them to another fabricator, and you may not use them to have the work made elsewhere.
5. Orders and changes
Every custom order is made to your dimensions, your species and your finish. It cannot be resold. For that reason:
- Once you approve shop drawings and we release the order to production, the order is firm.
- Changes after release are handled by written change order and are billed at the rates in that change order, including material already cut.
- Cancellation after release is subject to Section 5 of our Custom Order Terms.
6. Payment
Payment terms for custom work are set out in your signed contract and in our Custom Order Terms. For standard products bought through the site, payment is taken in full at checkout.
Late balances accrue interest at 1.5% per month, or the maximum the law allows if that is lower. If we have to collect through counsel, you pay reasonable attorney fees and costs.
We keep the right to stop work and to hold finished goods until an overdue balance is paid. We also keep every lien right California law gives a contractor and a materials supplier.
7. Your responsibilities
You agree that:
- The dimensions, drawings and photographs you give us are accurate.
- You own the space, or you have written permission from the owner to have the work done.
- HOA, landlord, historical board and building department approvals are yours to obtain.
- The install area will be clear, dry, weather-tight, powered and reachable on the agreed date.
- Someone with authority to sign off will be available for templating and for final walkthrough.
If a site is not ready on the scheduled day, we may charge a return trip fee and reschedule to our next available window.
8. Wood is a natural material
Grain, color, figure and mineral streaking vary from board to board and from flitch to flitch. Samples and renderings show a representative range, not an exact match. Wood also moves with humidity. Small seasonal changes in a panel are normal and are not a defect.
This is what makes real wood worth specifying. It is also why we will not promise that a finished wall matches a sample photograph exactly.
9. Website content and intellectual property
Everything on this site, including photographs of our projects, text, drawings and the Element Decor name and logo, belongs to us or to our licensors. You may not copy, republish or use it commercially without our written permission.
Project photographs on this site show our own work. Where a project was done for a designer or a general contractor, credit is given on request.
We may photograph completed work and use the images in our portfolio, on social media and in advertising. If you need us not to, tell us in writing before installation and we will note it on your contract.
10. Accounts and site use
You may not use this site to break the law, to scrape our content, to probe our systems, or to interfere with anyone else's use of it. We may suspend access for any of these.
If you create an account, keep your password to yourself. You are responsible for what happens under your account.
11. Third party links
The site may link to third party sites. We do not control them and we are not responsible for their content or their privacy practices.
12. Disclaimers
The site is provided as is. We do not warrant that it will be uninterrupted or error free, or that the information on it is complete or current at every moment.
Nothing in this section limits the express warranty we give on our work. That warranty is set out in our Warranty page and in your contract.
13. Limitation of liability
To the fullest extent California law allows, our total liability for any claim connected to an order is limited to the amount you paid us for that order.
We are not liable for indirect, incidental, special, consequential or punitive damages, including lost profits, lost rental income, delay damages, or the cost of temporary housing.
We are not responsible for delay or failure caused by events outside our reasonable control, including material shortages, carrier delays, fire, flood, earthquake, labor disputes, utility failure and government action.
Nothing here limits liability that cannot be limited under California law, including liability for fraud or for personal injury caused by our negligence.
14. Indemnity
You agree to defend and indemnify Element Decor against claims arising from your breach of these Terms, from your misuse of the site, from inaccurate information you gave us, and from work performed by others on the same project.
15. Dispute resolution and arbitration
Please read this section carefully. It affects how disputes between us are resolved.
Informal resolution first. Before starting arbitration, you agree to contact us at office@element-decor.com and give us 30 days to resolve the issue. Most problems are solved in a phone call.
Binding arbitration. If we cannot resolve it, any dispute arising out of or relating to these Terms, the site, or an order will be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, before a single arbitrator, in Los Angeles County, California. Judgment on the award may be entered in any court with jurisdiction.
Class action waiver. Arbitration will be conducted on an individual basis only. You and Element Decor each waive the right to bring or participate in a class, collective or representative action. If this waiver is held unenforceable as to a particular claim, that claim proceeds in court and the rest of this section still applies.
Small claims. Either of us may bring an individual claim in small claims court instead of arbitration if it qualifies.
Right to opt out. You may reject this arbitration agreement by emailing office@element-decor.com within 30 days of first accepting these Terms, with your name and the words "arbitration opt-out". Opting out does not affect any other part of these Terms, and it does not affect your order.
Costs. For consumer claims, Element Decor pays the arbitration filing and administrative fees that exceed what a court filing fee would have been, as required by California law.
What this does not cover. This section does not waive any right you have under the California contractors' license law, including your right to file a complaint with the Contractors State License Board. It does not apply to claims against a contractor's bond.
16. Governing law
These Terms are governed by the laws of the State of California, without regard to conflict of law rules. Where a dispute is not subject to arbitration, venue lies in the state or federal courts located in Los Angeles County, California.
17. Changes to these Terms
We may update these Terms. The version in force when you place an order is the version that applies to that order. We will post the updated date at the top of this page.
18. Severability and entire agreement
If any provision is held unenforceable, the rest stays in force. These Terms, together with your signed contract and the policies referenced here, are the entire agreement between us on this subject.
